Article I: Name and Purpose

1.1 The name of this organization shall be Wallsocket, Michigan. 1.2 The purpose of this organization shall be to serve the residents of Wallsocket, Michigan, by promoting and protecting the well-being and interests of the community, and fostering a sense of unity and cooperation among its members.

Article II: Membership

2.1 Membership in this organization shall be open to all residents of Wallsocket, Michigan, who are 18 years of age or older.

2.2 Members shall have the right to participate in all meetings, discussions, and activities of the organization, and shall be entitled to one vote on all matters requiring a vote.

2.3 Membership may be terminated by a two-thirds vote of the membership for conduct detrimental to the organization or its mission.

Article III: Officers

3.1 The officers of this organization shall be a President, Vice President, Secretary, and Treasurer.

3.2 The President shall preside over all meetings, represent the organization to the public, and perform other duties as necessary to carry out the organization’s mission.

3.3 The Vice President shall assist the President in their duties and assume the President’s duties in their absence.

3.4 The Secretary shall keep minutes of all meetings, maintain records of the organization’s activities and correspondence, and handle other administrative tasks as needed.

3.5 The Treasurer shall be responsible for the organization’s financial affairs, including keeping accurate records of all financial transactions, preparing financial reports for meetings, and coordinating fundraising efforts.

Article IV: Meetings

4.1 Regular meetings of the organization shall be held on a monthly basis, unless otherwise determined by the officers.

4.2 Special meetings may be called by the President or by a majority vote of the officers or members.

4.3 A quorum, consisting of at least 50% of the membership, shall be required for the transaction of business at any meeting.

4.4 All meetings shall be conducted in accordance with Robert’s Rules of Order.

Article V: Committees

5.1 The organization may establish committees as needed to carry out its mission and activities.

5.2 Committees shall be appointed by the President or by a majority vote of the officers or members.

5.3 Committees shall report their activities and recommendations to the membership at regular meetings.

Article VI: Amendments

6.1 These bylaws may be amended by a two-thirds vote of the membership at any regular or special meeting.

6.2 Proposed amendments must be submitted in writing to the membership at least 30 days prior to the meeting at which they will be considered.

Article VII: Dissolution

7.1 In the event that the organization is dissolved, all remaining assets shall be distributed to a charitable organization selected by a majority vote of the membership.

These bylaws were adopted by the membership of Wallsocket, Michigan on 05/15/1969. Amendments to these bylaws were adopted on 02/04/2023.
